These Terms and Conditions ("Terms") govern the Vault Markets Black Friday Tournament ("Tournament" or "Promotion") conducted by Vault Markets (Pty) Ltd ("Vault Markets", "we", "us", or "the Company"). By registering for or participating in this Tournament, you acknowledge that you have read, understood, and agree to be bound by these Terms. The Company reserves the right, in its absolute discretion, to amend, modify, or terminate this Tournament at any time without prior notice.

1. INTRODUCTION

1.1. These Terms and Conditions ("Terms") govern participation in the Vault Markets Black Friday Tournament ("Tournament" or "Promotion") conducted by Vault Markets (Pty) Ltd ("Vault Markets", "the Company", "we", "us", or "our").

1.2. By registering for or participating in this Tournament, each participant ("you" or "Participant") acknowledges that they have read, understood, and agreed to be bound by:
1.2.1. these Terms; and
1.2.2. the Vault Markets Client Agreement, Risk Disclosure Notice, and any other Company policy or notice incorporated by reference (collectively, the "Governing Documents").

1.3. If there is any inconsistency between these Terms and the Governing Documents, the Client Agreement shall prevail to the extent of the inconsistency.

1.4. The Company reserves the right, in its sole and absolute discretion, to amend, suspend, or terminate this Tournament, or to modify any of its Terms, at any time without prior notice.

2. DEFINITIONS AND INTERPRETATION

2.1. Definitions

2.1.1. Unless the context indicates otherwise:

2.1.1.1. "Account" means the Participant's verified Vault Markets trading account opened and maintained in accordance with the Client Agreement.
2.1.1.2. "Applicable Law" means all statutes, regulations, rules, directives, and codes of practice applicable in the Republic of South Africa and any other relevant jurisdiction.
2.1.1.3. "Client Agreement" means the legally binding agreement governing the relationship between the Participant and Vault Markets.
2.1.1.4. "Company" or "Vault Markets" means Vault Markets (Pty) Ltd (Registration No. 2020/824856/07), a juristic representative of RocketX (Pty) Ltd (FSP No. 52142).
2.1.1.5. "Disqualification" means removal of a Participant from the Tournament for breach of these Terms, the Client Agreement, or Applicable Law.
2.1.1.6. "Effective Date" means the date these Terms are published on the Company's official website.
2.1.1.7. "Governing Documents" collectively means these Terms, the Client Agreement, the Company's Risk Disclosure Notice, Privacy Policy, and any other published rules or notices.
2.1.1.8. "Deposits" means total deposits into a Participant's Account during the Tournament Period.
2.1.1.9. "Participant" means any natural person who meets the eligibility requirements in Clause 4.
2.1.1.10. "Prize" means any item, credit, experience, or reward offered by the Company under the Tournament.
2.1.1.11. "Tournament" or "Promotion" means the Vault Markets Black Friday Tournament conducted during the Tournament Period.
2.1.1.12. "Tournament Period" means the duration set out in Clause 3, as amended from time to time.

2.2. Interpretation

2.2.1. Clause headings are for reference only and do not affect interpretation.
2.2.2. Words importing the singular include the plural and vice versa; any gender includes all genders.
2.2.3. References to "includes" or "including" mean "without limitation".
2.2.4. Any reference to legislation includes amendments or replacements thereof.
2.2.5. In the event of conflict, the Client Agreement prevails.
2.2.6. The contra proferentem rule does not apply - no provision shall be construed against the Company because it drafted these Terms.
2.2.7. "Business day" excludes Saturdays, Sundays, and public holidays in the Republic of South Africa.

3. TOURNAMENT PERIOD

3.1. The Tournament commences on 30 October 2025 and concludes on 28 November 2025 ("Tournament Period").
3.2. Winners will be announced on 28 November 2025 (Black Friday).
3.3. The Company may extend, shorten, or modify the Tournament Period at its sole discretion.

4. ELIGIBILITY AND PARTICIPATION

4.1. Open to verified Vault Markets clients who:

4.1.1. Are at least 18 years old or the legal age of majority in their jurisdiction;
4.1.1.1. Hold a fully verified Account;
4.1.1.2. Reside in a jurisdiction where Vault Markets is legally permitted to operate; and
4.1.1.3. Comply with all Applicable Law.

4.2. Excluded from participation:

4.2.1. Employees, directors, and officers of Vault Markets or RocketX (Pty) Ltd;
4.2.2. Their immediate family members or household residents;
4.2.3. Persons resident in jurisdictions where such promotions are prohibited.

4.3. The Company may refuse participation or disqualify any person at its absolute discretion.

5. TOURNAMENT ENTRY REQUIREMENTS

5.1. Entry Calculation:

5.1.1. Each R500 in Deposits earns one (1) Tournament entry.
5.1.2. Deposits = Total Deposits during the Tournament Period.
5.1.3. Entries below R500 do not qualify.
5.1.4. No limit on entries.

5.2. Verification:

5.2.1. Only deposits made via approved payment methods qualify.
5.2.2. Internal transfers are excluded.
5.2.3. The Company's system records and determinations are final and binding.

5.3. Anti-Abuse:

5.3.1. Fraud or abuse of the deposit system may result in disqualification.
5.3.2. The Company may suspend or close accounts suspected of manipulation.

6. PRIZES

6.1. Prizes (approximate retail values in ZAR):

6.1.1. MacBook Pro – R45,000
6.1.2. Lamborghini Experience Day – R35,000
6.1.3. iPad Pro – R15,000
6.1.4. Premium Trading Desk Setup – R8,000
6.1.5. Sony XM5 Headphones – R5,000
6.1.6. Additional prizes may be introduced at the Company's discretion.

6.2. Each Participant may win a maximum of one (1) Prize.
6.3. Prizes are non-transferable and not redeemable for cash except as allowed in Clause 7.

7. PRIZE FULFILMENT AND SUBSTITUTION

7.1. Delivery:

7.1.1. Prizes shipped to the verified address on file;
7.1.2. International shipping costs borne by the winner;
7.1.3. Delivery times not guaranteed;
7.1.4. The Company is not liable for loss, delay, or damage in transit.

7.2. Substitution:

7.2.1. If unavailable, prizes may be substituted with equal or greater value;
7.2.2. Winners may opt to receive an equivalent Account credit;
7.2.3. Credits are subject to trading and withdrawal conditions.

7.3. Experience Prizes:

7.3.1. Redeemable within 12 months;
7.3.2. Subject to third-party provider terms;
7.3.3. The Company is not responsible for cancellations or quality issues.

7.4. Tax Obligations:

7.4.1. All taxes, duties, or levies on prizes are the winner's responsibility.
7.4.2. Prizes may be withheld pending completion of tax documentation.

8. WINNER SELECTION AND NOTIFICATION

8.1. Winners selected randomly by an independent third party; all entries have equal probability.
8.2. Winners notified by email within five (5) business days and must respond within fourteen (14) calendar days.
8.3. Failure to respond results in forfeiture and replacement selection.
8.4. Winners must verify their identity and Account ownership prior to prize release.

9. COMPANY RIGHTS AND TERMINATION

9.1. The Company reserves the right, in its sole discretion, to:

9.1.1. Amend, suspend, or terminate the Tournament;
9.1.2. Modify prize offerings or Tournament mechanics;
9.1.3. Disqualify Participants for misconduct, abuse, or breach of these Terms or the Client Agreement.

9.2. The Company shall not be liable for any loss arising from cancellation or modification of the Tournament.
9.3. Legal action may be pursued for fraudulent conduct.

10. INDEMNITY

10.1. Participants indemnify and hold harmless the Company, its affiliates, directors, employees, and agents from and against any claim, loss, damage, liability, or expense (including legal costs) arising directly or indirectly from:

10.1.1. Participation in the Tournament;
10.1.2. Breach of these Terms or the Client Agreement;
10.1.3. Violation of Applicable Law; or
10.1.4. Misuse of the Company's systems or services.

11. SANCTIONS AND COMPLIANCE

11.1. Participation is prohibited for individuals or entities:

11.1.1. Listed on any sanctions or watchlist maintained by the UN, OFAC, EU, or FIC; or
11.1.2. Residing in jurisdictions subject to international financial sanctions or embargoes.

11.2. The Company may refuse entry, suspend accounts, or withhold prizes where participation would contravene sanctions or regulatory obligations.

12. AUDIT AND VERIFICATION

12.1. The Company reserves the right to audit Participants' eligibility and compliance at any stage.
12.2. Failure to cooperate or provide documentation may result in disqualification and forfeiture of any Prize.
12.3. If post-award verification reveals ineligibility or misconduct, the Company may revoke or reclaim prizes.

13. LIABILITY AND LIMITATION

13.1. To the maximum extent permitted by law, the Company is not liable for:

13.1.1. Technical failures or system errors;
13.1.2. Delays, losses, or damages relating to prizes;
13.1.3. Suitability or quality of prizes;
13.1.4. Tax liabilities incurred; or
13.1.5. Any indirect, incidental, or consequential damages.

13.2. The Company's total liability shall not exceed the value of the relevant prize.
13.3. Force Majeure: The Company is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, government action, pandemics, or system failures.

14. PUBLICITY AND DATA USAGE

14.1. By participating, winners consent to publication of their name, city, and photograph for promotional purposes without further compensation, unless prohibited by law.
14.2. Personal information is processed under the Privacy Policy and POPIA.

15. WAIVER AND SEVERABILITY

15.1. No failure or delay by the Company to enforce any provision constitutes a waiver of rights.
15.2. If any provision is invalid or unenforceable, the remaining provisions remain in full force and effect.

16. ASSIGNMENT

16.1. The Company may assign or transfer its rights and obligations under these Terms to any affiliate or successor.
16.2. Participants may not assign or transfer any rights or obligations arising from participation.

17. NOTICES AND COMMUNICATION

17.1. Notices to the Company must be emailed to [email protected].
17.2. Notices from the Company are deemed received if sent to the registered email address or posted on the official website.

18. REGULATORY COMPLIANCE AND GOVERNING LAW

18.1. This Tournament is governed by the laws of the Republic of South Africa.
18.2. Vault Markets (Pty) Ltd operates as a Juristic Representative of RocketX (Pty) Ltd, FSP No. 52142, authorised and supervised by the FSCA.
18.3. All disputes are subject to the exclusive jurisdiction of the South African courts.
18.4. Participation is void where prohibited by law.

19. ENTIRE AGREEMENT

19.1. These Terms, together with the Client Agreement record the entire understanding between the Participant and the Company regarding the Tournament and supersede all prior communications.
